OnlineALT Terms of Use Agreement
As part of your purchase from Abrams Learning Trends, you have been supplied with electron ic materials that can be accessed online using your OnlineALT account. All of our electronic materials contain copyrighted material. Your use of this electronic material constitutes your agreement to not give away, share, or sell this electronic material, and to abide by all the terms and conditions set forth in this Agreement. Please read the entire Agreement carefully.

We, the Publisher, agree to grant, and you, the user, agree to accept, a non-exclusive, non-transferable, license to use the electronic material in accordance with the following terms and conditions.
Downloading or Installing. You may download or install the electronic material onto your computer or other personal electronic device(s) that belong to you or that you are authorized to use. You may make reasonable back-up copies of the electronic material to avoid losing it. You may not give copies of the electronic material to others, or make the electronic material available for others to copy or download. Unless this purchase was part of a site license granting a specified number of users access to the electronic material, the electronic material may be used by only one user. The user of the electronic material shall be subject to all of the terms of this Agreement, whether or not the user was the purchaser. If you need access to this electronic material for more than one user, you need to purchase separate copies (and separate licenses) for each user, or the purchase needs to be part of a site license granting access to a specified number of users, each of whom are bound by the terms and conditions of this Agreement.
Printing. You may print the electronic material for your personal and classroom use. You may not give printed pages from the electronic material or the entire printed electronic material to others.
Copyright, Use, and Resale Prohibitions. All content in this electronic material is copyrighted under copyright laws of the United States of America. The Publisher owns the copyright and the electronic material itself. Other than as stated in this License Agreement, you may not copy, print, modify, remove, delete, augment, add to, publish, transmit, sell, resell, create derivative works from, or in any way exploit any of the electronic material’s content, in whole or in part, and you may not aid or permit others to do so. You shall not: (1) rent, assign, timeshare, distribute, or transfer all or part of the electronic material or any rights granted by this license agreement to any other person; (2) duplicate the electronic material, except for reasonable backup copies; (3) remove any proprietary notices, labels, or marks from the electronic material; (4) transfer or sublicense title to the electronic material to any other party.
Liability. The unauthorized use or distribution of copyrighted or other proprietary content is illegal and could subject you to substantial monetary damages. You will be liable for any damage resulting from any violation of this License Agreement, including any infringement of copyrights or proprietary rights.
This license is not a sale. All right, title, and interest in and to all the content provided in electronic form, as well as any accompanying documentation or computer programs, remain with Abrams Learning Trends. Unauthorized copying of the electronic material or the accompanying documentation, or failure to comply with the above restrictions, will result in automatic termination of this license and will make available to Abrams Learning Trends other legal remedies.
Limited Warranty and Disclaimer; Limitation of Liability
The Publisher does not guarantee that the information provided in electronic or print format is error-free, or warrant that the electronic material will meet your requirements, or that the operation of the electronic material will be uninterrupted or error-free. The electronic material is provided “as is” without warranty of any kind, either express or implied or statutory, including, without limitation, implied warranties of merchantability and fitness for a particular purpose. Some states do not allow the exclusion of implied warranties of the limitation or exclusion of liability or consequential damages, so the above limitations and exclusions may not apply to you.

The entire risk as to the results and performance of the electronic material is assumed by you. In no event will the Publisher be liable for any damages, including, without limitation, incidental and consequential damages and damages for lost data or profits arising out of the use or inability to use the electronic material. The entire liability of the Publisher shall be limited to the amount actually paid by you for the electronic material license.
Your Agreement
Your use of the electronic material constitutes your agreement to the above terms and conditions.
Abrams Learning Trends, OnlineALT, and all related logos are trademarks and/or registered trademarks of the Publisher. No right, license, or interest to such trademark is granted hereunder, and you agree that no such right, license, or interest shall be asserted to you with respect to such trademark.
Governing Law
This Agreement shall be construed and governed in accordance with the laws of the State of Texas.
No Waiver
This Agreement is the entire agreement between us and supersedes any other communications or advertising with respect to the electronic material and accompanying documentation. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
